Access to AZComply workspace tiers (e.g. Workspace at €99/month, Developer API, and Enterprise Governance) is licensed on a recurring subscription basis or via approved enterprise agreements.

Payment Processing: All payments, subscription renewals, invoicing, and tax calculations are processed securely through Lemon Squeezy, acting as our Merchant of Record. By subscribing, you authorize recurring charges to your chosen payment method at the beginning of each billing interval until cancellation.

Taxes & Reverse Charge: Prices are stated in Euros (€ EUR). Value Added Tax (VAT) is assessed based on customer jurisdiction; business customers within the EU providing a valid VAT ID will have reverse-charge VAT applied in accordance with EU tax directives.

Self-Service Cancellation: You may cancel your subscription at any time with a single click in your Workspace Account Settings (or via the Lemon Squeezy customer portal) without penalty or termination fees.

Prepaid Term Continuity: Following cancellation, your workspace remains fully accessible until the conclusion of the prepaid billing cycle. No further recurring charges will occur.

14-Day EU Right of Withdrawal: In accordance with EU Directive 2011/83/EU on Consumer Rights, initial purchases may be cancelled within fourteen (14) calendar days of initial subscription for a full refund by contacting [email protected], subject to our Refund Policy.

100% Customer Data Ownership: You retain complete and unencumbered ownership and intellectual property rights in and to all technical specifications, system architecture diagrams, policies, training data descriptions, and evidence files uploaded to or generated within AZComply.

Absolute Non-Training Guarantee: AZComply strictly pledges and warrants that customer compliance data, uploaded dossiers, system prompts, and questionnaire submissions are NEVER used to train, retrain, fine-tune, or validate any public, commercial, or third-party AI or foundation models.

Platform IP: AZComply and its licensors retain all rights, title, and interest in and to the platform codebase, deterministic decision rules, UI components, taxonomy graphs, and software algorithms.

100% EU Data Residency

Controller / Processor Relationship: For paid workspace accounts, you act as Data Controller and AZComply acts as Data Processor under Articles 4(7) and 4(8) of Regulation (EU) 2016/679 (GDPR). Our Data Processing Agreement (incorporating Article 28 GDPR standard contractual terms) automatically governs all processing of personal data.

Sovereign EU Infrastructure Guarantee: All customer data, databases, and AI model extraction pipelines reside strictly within the European Union: (i) Primary database, user authentication, and encrypted document storage are hosted on Supabase in eu-central-1 (Frankfurt, Germany); (ii) Auxiliary extraction models are hosted on dedicated sovereign LLM infrastructure in europe-west4 (Eemshaven, Netherlands) under strict Zero Data Retention (ZDR) enterprise terms.

Sub-processor Transparency: An up-to-date schedule of verified sub-processors is maintained in our Privacy Policy. Customers will receive prior notification of material infrastructure changes.

Statutory Allocation of Responsibilities: Under Regulation (EU) 2024/1689, AZComply functions as a software tool vendor. Where AZComply employs foundation models to assist document extraction, AZComply complies with its own deployer transparency duties (Article 50).

Customer Compliance Obligations: You remain solely responsible for the systems you evaluate: establishing whether your entity operates as a Provider (Art. 3(3)), Deployer (Art. 3(4)), Importer, or Distributor; fulfilling fundamental rights impact assessments (FRIA, Art. 27); implementing continuous human oversight (Art. 14); and managing post-market monitoring plans.

DORA Crosswalk: For financial entities subject to Regulation (EU) 2022/2554 (DORA), AZComply provides ICT third-party risk management crosswalks, but the regulated entity remains directly answerable to financial supervisory authorities for ICT operational resilience.

Permitted Usage: AZComply services, developer REST APIs, and MCP endpoints may only be used for legitimate internal governance, conformity audits, and compliance management.

Prohibited Conduct: You agree not to: (i) reverse engineer, decompile, or scrape AZComply’s proprietary classification rules and heuristics; (ii) submit malicious payloads, adversarial injection prompts, or unlicensed classified documents; (iii) circumvent rate limits or authentication tokens; or (iv) resell automated assessment outputs as an unverified CAB certification.

Service Availability: We target 99.9% uptime for the cloud compliance workspace, excluding scheduled maintenance windows notified in advance.

Limitation of Liability: To the maximum extent permitted by applicable EU and national law, AZComply’s cumulative aggregate liability arising out of or related to these Terms shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the incident. Neither party shall be liable for indirect, punitive, or consequential damages, loss of anticipated profits, or regulatory penalties imposed on the customer’s AI systems by supervisory authorities.

Mandatory Consumer Protections: Nothing in these Terms limits liability for willful intent, gross negligence, bodily injury, or mandatory consumer statutory protections under European Union directives.

Account Termination: Either party may terminate these Terms at will upon cancellation of account access. In the event of material breach, termination may occur upon fourteen (14) days written notice if unremedied.

30-Day Evidence Export Grace Period: Following account termination or non-renewal, your stored compliance dossiers, audit registers, and technical workpapers will remain available for export in standard format (PDF/JSON) for thirty (30) calendar days, after which data is cryptographically expunged in accordance with our Privacy Policy.

Material Revisions: We may update these Terms to reflect legislative changes (e.g. EU AI Act delegated acts). Notice of material changes will be delivered via email or in-app notification at least fourteen (14) days prior to entry into force.
